Terms of Service

These Terms of Service (“Terms”) are a contract between you and the operator of the DialValet service at dialvalet.com (“DialValet,” “we,” “us,” or “our”). They cover the website, dashboard, APIs, command-line tools, Model Context Protocol server, and related software (together, the “Service”).

By creating an account, requesting a one-time code, connecting an agent, adding credit, or placing a call, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Agreement

You are contracting in your personal capacity unless you have authority to bind an organization and are using DialValet for that organization. You are responsible for everyone who uses the Service through your account, including AI agents, scripts, and API clients you connect.

These Terms include the acceptable-use rules in Section 7 and the refund rules in Section 9. Features described in documentation or marketing are not part of this contract unless they are actually available in the Service when you use them.

2. The service

DialValet lets you ask an assistant to place one user-directed outbound phone call from a phone number you have verified, then return a short outcome. It is not a call center, a campaign dialer, a replacement for your phone carrier, or an emergency service.

The current Service is limited as follows:

We may refuse, delay, or end a call for safety, legal, billing, provider, or capacity reasons. We do not guarantee that a recipient will answer, that a task will be completed, or that caller ID will display the same way on every device or network.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. The Service is offered only to people who can receive a one-time code at a valid United States phone number. We may refuse or close accounts at our discretion.

Your account is tied to that phone number. You must keep control of the number and any devices used to receive codes. If you lose the number, contact us promptly. We currently authenticate with phone one-time codes and a browser session cookie. We do not use passwords.

You may request account closure from the dashboard or by emailing contact@dialvalet.com. We will disable access after we receive a valid request. Closing an account does not erase records we must keep for billing, security, fraud prevention, or law.

4. Agents, API keys, and connections

You may connect personal AI agents, API keys, the DialValet CLI, or OAuth clients to your account. Those clients act as you. A connection, OAuth grant, or API key is not approval for a specific call. Each call still requires your instruction and the attestations described in Section 6.

You must protect API keys and revoke access you no longer need. You are responsible for usage, charges, and legal consequences that result from keys, tokens, or agents you authorize, including if an agent places a call you did not intend. DialValet may enforce spend, duration, destination, and concurrency limits that an agent cannot raise.

5. Caller identity

Before placing calls, you must verify a United States number you are authorized to use as caller ID. Verification shows that you can receive a code at that number. It does not mean the person you later call has consented, and it does not guarantee what their phone will display.

You may only use a number you own or are clearly authorized to present. You may not spoof, borrow, or present a number to impersonate someone else. Inbound calls to a verified existing number continue to that number’s ordinary carrier. DialValet does not receive those inbound calls.

6. Calls and your responsibilities

You may use DialValet only for one-to-one calls that you specifically request, for a purpose you are legally allowed to pursue, to a person or business you are legally allowed to contact. Examples of intended uses include scheduling or changing an appointment, checking hours or availability, or calling someone you already have a reasonable basis to contact.

Each time you or your agent requests a call, you represent and warrant that:

An account-holder checkbox, CLI confirmation, or consent: true field is your attestation. It is not proof that the recipient consented. Verifying your own number is not the recipient’s consent.

Calls begin with a server-controlled disclosure that an AI assistant is calling. You may not instruct the assistant to skip, contradict, or bury that disclosure, or to claim it is you speaking in person. If a recipient objects to an AI call, the call should end. You remain responsible for complying with the Telephone Consumer Protection Act, state calling and recording laws, carrier rules, and any other law that applies to the call.

DialValet is not a 911 or emergency service. Do not use it to reach police, fire, medical, or other emergency services, and do not rely on it in a crisis.

7. Acceptable use

You may not use the Service, or allow an agent to use it, for any of the following. We may investigate, refuse calls, suspend accounts, keep prepaid credit, and report activity to providers or authorities.

We may maintain workspace and global suppression lists. If a destination asks not to receive AI calls from you, you must not use DialValet to call that destination again.

8. Fees, credit, and taxes

DialValet is prepaid. Current published pricing is $0.12 USD per started connected minute, plus applicable taxes. If a call is answered and has any connected time, we bill one started minute; further partial minutes round up. Unanswered, busy, failed, or canceled-before-answer attempts are not billed as talk time. Using your own verified number as caller ID has no separate fee.

You add credit through Stripe Checkout. The current minimum is $5 and the current maximum in a single checkout is $100. We do not store your full card number, and we do not automatically charge a saved card when your balance is low. Posted prices and limits may change. The price in effect when a connected minute is billed applies to that minute.

Prepaid balances are service credits, not cash, stored value, or a gift card. Credits are not transferable, have no cash value except as stated in Section 9, and do not expire while your account remains open and in good standing. We reserve the maximum possible charge before a call and settle the actual charge from trusted provider timestamps after the call ends. We may hold a reservation when provider evidence is incomplete.

You authorize us to deduct usage from your credit. If a provider later adjusts a call, we may debit or credit your balance to match. You are responsible for any taxes that apply to your purchases unless we collect them at checkout.

9. Refunds

Connected talk time that was billed is not refundable. Unused prepaid credit may be refunded to the original payment method if you close your account and ask us in writing at contact@dialvalet.com.

If a payment failed, was canceled before completion, or never settled, there is nothing to refund. Filing a chargeback without first emailing us may delay help and can lead to account suspension. Nothing in this section limits a refund we are required to give by law.

10. Privacy

Our Privacy Policy explains what we collect and how call audio and results are handled. By using the Service, you instruct us to process that information as needed to place calls, bill you, prevent abuse, and operate DialValet.

11. Beta, changes, and availability

The Service is a beta product. It may change, break, or be interrupted. We do not promise uptime, call quality, model accuracy, or that a structured result will be produced. We may add, remove, or limit features, destinations, or interfaces at any time.

Telephony, voice models, and payments depend on third parties such as Telnyx, OpenAI, Stripe, and Cloudflare. Their outages, policies, and filtering are outside our complete control. Those providers have their own terms.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, DIALVALET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CALLS WILL BE CONNECTED, UNDERSTOOD, LAWFUL FOR YOUR PURPOSE, OR FREE OF ERROR, OR THAT RESULTS WILL BE COMPLETE OR ACCURATE.

You are solely responsible for deciding whether a call is lawful and appropriate, for reviewing outcomes before you rely on them, and for any commitment an assistant makes on a call you requested.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIALVALET AND ITS OPERATORS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, MISSED APPOINTMENTS, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED THAT THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DIALVALET FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100. THESE LIMITS APPLY TO ANY THEORY OF LIABILITY AND SURVIVE FAILURE OF ESSENTIAL PURPOSE. SOME PLACES DO NOT ALLOW CERTAIN LIMITS; IN THOSE PLACES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

14. Indemnity

You will defend, indemnify, and hold harmless DialValet and its operators from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, calls you request, destinations you contact, content you provide, agents you connect, or your violation of these Terms or the law.

15. Suspension and termination

You may stop using the Service at any time and may request account closure as described above. We may suspend or terminate access immediately if we believe you have violated these Terms, created risk for recipients or providers, failed a payment, or if we discontinue the Service.

After closure, unused credit is handled under Section 9. Provisions that should survive do survive, including acceptable use, fees already incurred, refunds, disclaimers, liability limits, indemnity, and dispute terms.

16. Disputes

Before filing a claim, email contact@dialvalet.com with a short description of the dispute and the account phone number, and give us 30 days to try to resolve it.

If we cannot resolve it, except for the exceptions below, you and DialValet agree to binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this agreement. The arbitrator may award the same individual relief a court could. There is no class, collective, or representative arbitration.

You may bring an individual claim in small-claims court if it qualifies. You may opt out of arbitration by emailing contact@dialvalet.com with the subject line “Arbitration Opt-Out” within 30 days after you first agree to these Terms. If you opt out, or if the arbitration agreement is found unenforceable, exclusive venue is the state or federal courts in the United States, and you consent to those courts. These Terms are governed by the laws of the United States and, to the extent state law applies, the state where the dispute is heard, without regard to conflict-of-law rules.

17. Changes to these Terms

We may update these Terms. The updated Terms will be posted at dialvalet.com/terms with a new effective date. If a change is material, we will also try to provide a notice in the Service. Continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and request account closure.

Questions about these Terms, refunds, acceptable use, or legal notices go to contact@dialvalet.com. That is our only published contact address.

If a court finds a part of these Terms unenforceable, the rest remains in effect. These Terms are the entire agreement between you and DialValet about the Service. You may not assign them without our consent. We may assign them as part of a reorganization or sale. A failure to enforce a provision is not a waiver. Headings are for convenience only.
